SEVERANCE

Any term of this agreement which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity and enforceability of the remainder of this agreement is not limited or otherwise affected.

JOINT AND SEVERAL LIABILITY

An obligation or a liability assumed by, or a right conferred on, two or more persons binds or benefits them jointly and severally.

ASSIGNMENT

  • (headings) headings and words in bold type are for convenience only and do not affect interpretation;
  • (includes) the word "includes" and similar words in any form is not a word of limitation;
  • (adverse interpretation) no provision of this agreement will be interpreted adversely to a party because that party was responsible for the preparation of this agreement or that provision; and
  • (currency) a reference to $, or “dollar”, is to Australian currency, unless otherwise agreed in writing.

1. Submitting an Order

  • We will endeavour to ensure that the Products provided will be substantially the same as the Products displayed on our Website, or as otherwise agreed with you in writing prior to you placing your Order. Please note that due to screen display, colour and brightness, and image quality, Products may not exactly match the image on our Website.
  • (Free Samples) We may provide you with free samples of the Products from time to time, even if we may not have previously done so. These terms and conditions will also apply to your use of any samples we provide to you.
  • Until the price of your Products is paid in full, title in those Products is retained by The Patch Remedy. Risk in the Products will pass to you on delivery in accordance with clause 6. Delivery must not be refused by you.
  • (Gift Cards) We may issue gift cards for use on our Website. Gift cards are valid online at our Website and are redeemable through our checkout in accordance with the process set out on the gift card or otherwise communicated to you. Gift cards are not legal tender, account cards, credit or debit cards or securities. They are not reloadable and cannot be exchanged or redeemed for cash, a discount, or anything else.
  • (Promo Codes) We may offer promotional codes for use on our Website for discounted prices on the Products. Promo codes are only valid and redeemable through our checkout in accordance with the process set out on the Website, social media accounts or otherwise communicated by us to you in writing.   • (Online payment partner) We may use third-party payment providers (Payment Providers) to collect payments for Products. The processing of payments by the Payment Provider will be, in addition to these terms, subject to the terms, conditions and privacy policies of the Payment Provider and we are not liable for the security or performance of the Payment Provider. We reserve the right to correct, or to instruct our Payment Provider to correct, any errors or mistakes in collecting your payment.
  • (Pricing errors) In the event that we discover an error or inaccuracy in the price at which your order was purchased (including shipping prices), we will attempt to contact you and inform you of this as soon as possible. You will then have the option of purchasing your order at the correct price, or cancelling your order. If you choose to cancel your order and payment has already been debited, the full amount will be credited back to your original method of payment.

5. Delivery and Shipping

  • (Delivery Costs) Delivery costs will be added to the cart upon checkout. The prices displayed at checkout are inclusive of delivery to the address chosen by you.
  • (Delivery Details) The Patch Remedy may charge you for delivery at any time (notwithstanding that it may not have previously done so). Where prices are stated as inclusive of delivery:
  • (International Orders) The Patch Remedy reserves the right to refuse international orders. Approved international orders may be subject to customs and import duties upon reaching its country of destination. You will be responsible for paying all customs and import duties and acknowledge that failure to pay may result in your order being held at customs. We will not be liable for any costs you may incur in having your order released from customs, including reimbursing you for any customs or import duties you may pay.

6. Changes to Your Order

6.1  CANCELLATION BY US

We reserve the right to cancel your order for any reason, and will notify you of this as soon as possible. Where payment has already been debited, the full amount will be credited back to your original method of payment.

6.2  CANCELLATION BY YOU

You may cancel your Order up to the time that we confirm your Order in writing to you. Once we confirm your Order, your Order is binding and cannot be changed by you. However, our refunds and exchanges process in clause 6.3 may apply.

6.3  RETURNS AND EXCHANGES

(a) We do not offer change of mind returns.

(b) We will provide a full refund of the price paid for a Product if we determine that:

(c) (Faulty Products) The following process applies to any Product you believe to be faulty.

  • If you believe your Product is faulty, please contact us using the details provided on our Website with a full description of the fault (including images).
  • If we determine that your Product may be faulty, we will request that you send the Product back to us at your cost for further inspection, including any manuals, documentation or registration shipped with the Product. We reserve the right to further inspection before deeming a Product faulty.
  • If we determine in our reasonable opinion that the Product is not faulty, or is faulty due to fair wear and tear, misuse, failure to use in accordance with the manufacturer's instructions, or failure to take reasonable care, we will refuse your return and send the Product back to you at your cost.
  • If we determine that the Product is faulty, you will be credited the full amount paid (including shipping costs) and you may request a refund, exchange or store credit. All refunds will be credited back to your original method of payment unless you request otherwise and we approve this request.
  • If you fail to comply with the provisions of this clause 6 in respect of a faulty Product, we may, in our absolute discretion, issue only a partial refund or no refund in respect of the faulty Product.
  • Nothing in this clause 6 is intended to limit or otherwise affect the operation of any manufacturers' warranties which you may be entitled to or any of your rights which cannot be excluded under applicable law.

  • In this clause, "intellectual property rights" means all copyright, trade mark, design, patent, semiconductor and circuit layout rights, trade, business, company and domain names, confidential and other proprietary rights, and any other rights to registration of such rights whether created before or after the date of these terms both in Australia and throughout the world.

8. THIRD PARTY SUPPLIERS

  • (Consequential loss) To the maximum extent permitted by law, under no circumstances will The Patch Remedy be liable for any incidental, special or consequential loss or damages, or damages for loss of data, business or business opportunity, goodwill, anticipated savings, profits or revenue arising under or in connection with this Website, these terms or any Products or services provided by The Patch Remedy (except to the extent this liability cannot be excluded under the Competition and Consumer Act 2010 (Cth)).

21. FORCE MAJEURE

  • If a party (Affected Party) becomes unable, wholly or in part, to carry out an obligation under this agreement (other than an obligation to pay money) due to a Force Majeure Event, the Affected Party must give to the other party prompt written notice of:

A party cannot assign, novate or otherwise transfer any of its rights or obligations under these terms without the prior written consent of the other party.

  • COSTS

Except as otherwise provided in these terms, each party must pay its own costs and expenses in connection with negotiating, preparing, executing and performing these terms.

  • ENTIRE AGREEMENT

This agreement embodies the entire agreement between the parties and supersedes any prior negotiation, conduct, arrangement, understanding or agreement, express or implied, in relation to the subject matter of these terms.

Overview

  1. By taking part in the Rate and Review Competition (Competition), all participants will be deemed to have accepted and be bound by these Terms and Conditions and the Privacy Policy. Any violation of these Terms and Conditions may result in disqualification.

    To the extent of any inconsistency between these Terms and Conditions and any other reference to this Competition, these Terms and Conditions prevail.

    The Competition commences at 9:00am Australian East Standard Time (AEST) on the first day of each month, and ends at 11:59pm AEST on the final day of said month (Promotion Period). Entries submitted and received by The Patch Remedy after this time will not be accepted. The time of entry will in each case be the time which the online entry is received by the The Patch Remedy’s database, not the time of transmission by the entrant.

How to enter

  1. To enter the Competition, eligible entrants must, during the Promotion Period submit a valid Rating/Review about a product currently sold by the The patch Remedy;
  2. Entrants may enter the Competition multiple times during the Promotion Period. Each entry must be a unique Rating/Review about a product currently sold by The Patch Remedy.
  3. The Patch Remedy reserves the right, at any time, to verify the validity of entries and entrants (including an entrant’s identity, age and proof of purchase), and to disqualify any entrant whose entry is not in accordance with these Terms and Conditions or who otherwise tampers with the entry process.
  4. The Patch Remedy’s decision is final and no correspondence or communication will be entered into in relation to such decision or associated process.

Prizes

  1. There will be 1 winner of the prize. This Competition is a game of skill and entrants are required to demonstrate skill, talent, creativity and/or imagination in their answer in order to compete. The winner will be determined by a judging panel at the offices of The Patch Remedy, on the 4th day of the month. 
  2. The winner will be notified by email. The winner’s first name and the winning entry may be published on The Patch Remedy’s social media platforms platforms, and in any other Promotional Material deemed relevant. Entrants consent to their details and entry being published in these circumstances 
  3. The total prize pool value for this Competition is AUD $175 (inclusive of GST). The winner will receive The Patch Remedy Patch Gift Pack containing a range of products valued at AUD $175 (inclusive of GST). 
  4. Prizes, or any unused portion of a prize, or any part thereof, are not transferable, saleable or exchangeable and cannot be taken or redeemed as cash or equivalent. Prizes must be taken as offered and cannot be varied. 
  5. It is a condition of accepting the prizes that the winner must comply with all the conditions of use of the prize and the prize supplier’s requirements. 
  6. The prize will be delivered to the nominated mailing address of the winner.

General

  1. Entrants agree that they are fully responsible for the entry which they submit, including any entry content (such as text, images, photos and videos) and any accompanying comments (Submission). The Patch Remedy shall not be liable in any way for such Submission to the fullest extent permitted by law. The Patch Remedy may remove any Submission without notice for any reason whatsoever. Entrants warrant and agree that: (a) they will not submit any Submission that is unlawful or fraudulent, or that The Patch Remedy could reasonably deem to be in breach of any intellectual property, privacy, publicity or other rights, defamatory, obscene, derogatory, pornographic, sexually inappropriate, violent, abusive, harassing, threatening, objectionable with respect to race, religion, origin or gender, not suitable for children aged under 15, or otherwise unsuitable for publication; (b) they will obtain prior written consent from any person that appears or is personally identifiable in their Submission; (c) they will obtain full prior written consent from any person who has jointly created or has any rights in the Submission to the uses and terms herein; (d) their Submission does not contain viruses and will not cause injury or harm to any person or entity; and (e) they will comply with all applicable laws and regulations, including, without limitation, those governing copyright, content, defamation, privacy, publicity and the access or use of others' computer or communication systems. 
  2. Entrants consent to The Patch Remedy  using the entrant's name and likeness in any media for an unlimited period without remuneration for the purposes of promoting this Competition (including any outcome) and promoting any products manufactured, distributed and/or supplied by The Patch Remedy  and their related bodies corporate. 
  3. Entry into the Competition is conditional upon the entrant’s approval of The Patch Remedy’s Privacy Policy and the entrant agrees that by entering into this Competition, the entrant consents to the terms of The Patch Remedy Privacy Policy. 
  4. All entries become the property of the The Patch Remedy  (including any intellectual property rights comprised therein). All opt-in entries will be entered into a database and The Patch Remedy may use the entrants’ names, addresses and telephone numbers for future promotional, marketing and publicity purposes in any media worldwide without notice and without any fee being paid, unless otherwise advised by the entrant. By opting-in, entrants confirm that they allow their details to be used for this purpose. If entrants no longer consent to their details being used for future marketing purposes, the entrant should contact The Patch Remedy  via the details set out below. Any request to update, modify or delete the entrant’s details should also be directed to The Patch Remedy.
